Terms of service
Last updated October 30, 2026
These terms are an agreement between you and Josh Yaspan ("we", "us"), who runs Subrecipient Watch (the "service"). By creating an account or using the service, you agree to them. If you use it for an organization, you agree on its behalf and confirm you're allowed to.
1. What it does
Subrecipient Watch compares the organizations you list with public data in the Federal Audit Clearinghouse, works out dates from that data, and keeps records of the checks you run and the decisions you enter.
2. Important: what it doesn't do
- It isn't official. The service is not affiliated with, endorsed by or connected to the U.S. General Services Administration, the Federal Audit Clearinghouse or any federal agency.
- The data can be late, incomplete or wrong. Dates are worked out from the usual rules. The clearinghouse data doesn't show extensions an agency may have granted, what an organization spent in a year with no audit, or every audit: some are restricted from public view. An organization may also audit under a different identifier.
- Matching can be wrong. Organizations write the names of their funders in their own words, so a finding may be matched to your award when it isn't yours, or missed when it is.
- Results are information, not legal or audit advice. You remain responsible for your own compliance, including monitoring subrecipients and issuing management decisions under 2 CFR Part 200. Read the audit itself before you act, and don't treat a status here as a finding that anyone broke a rule.
3. Your account
Give accurate sign-up details, keep your password and API keys private, and tell us at [email protected] if you think someone else has used them. You're responsible for what happens under your account. You must be at least 18.
4. Trials, plans and payment
- New accounts get a free 14-day trial of the Agency plan. No card is needed, and when it ends your account moves to the Free plan unless you choose a paid plan.
- Paid plans renew automatically each month or year, at the price shown when you subscribed, until you cancel. We never see or store your full card number.
- Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for card orders: it sells the subscription to you, takes payment, handles sales tax and VAT, and provides customer service for billing questions and returns. Paddle's buyer terms also apply to those purchases.
- You can cancel at any time under Manage plan. You keep your paid plan until the end of the period you've paid for, then move to Free. Refunds work as described in our refund policy.
- If we change prices, we'll email you at least 30 days before the change applies to your next renewal.
- Prices don't include taxes that may apply.
5. Using the service fairly
Don't: break the law with it; try to get around plan limits, rate limits or security; access other people's accounts or data; overload or disrupt the service; or resell or give others access to the service itself without our written agreement. The clearinghouse's data is public and you're free to get it there; these limits are about our service.
6. Your data
Your subrecipient lists, decisions and records belong to you. You let us store and process them only to run the service for you. Our privacy policy explains how we handle them. You can ask us to delete your account at any time.
7. Availability and changes
We work to keep the service running, but it may sometimes be unavailable. We may improve or change features. If we ever shut it down, we'll give at least 30 days' notice so you can get your records, and refund any prepaid time you can't use.
8. Ending your account
You can stop using the service and ask us to delete your account at any time. We may suspend or close accounts that break these terms or put the service or other users at risk; where reasonable, we'll warn you first.
9. No warranty
The service is provided "as is" and "as available". To the extent the law allows, we make no warranties, express or implied, including that results are accurate, complete or current, or that the service will be uninterrupted.
10. Limit of liability
To the extent the law allows, we aren't liable for indirect, incidental, special or consequential losses, or for lost funding, disallowed costs, penalties, profits, revenue or data, including losses from relying on a result. Our total liability for any claim about the service is limited to the greater of what you paid us in the 12 months before the claim and US$100.
11. Changes to these terms
We may update these terms. For significant changes we'll tell you by email or in the app before they take effect. Continuing to use the service after that means you accept the new terms.
12. Law
These terms are governed by the laws of Oregon, USA, and any dispute will be handled by the courts there, unless the law that applies to you says otherwise.
